Divestments

A well managed company divestment can provide a clear and lucrative exit strategy for business owners, a seamless transition of ownership and a healthy recapitalisation of the company. However, if the process is not undertaken properly, a divestment can also adversely affect the performance and value of the business.

Our Tactics

At State Equity, we initially establish a clear mutual agreement regarding the objectives of the company and the personal requirements of the shareholders. We then prepare the business for sale and ensure that it can comfortably absorb the eventual departure of the existing owners. We also formulate a comprehensive Information Memorandum designed to properly portray the company to interested parties.

As the business becomes ready for sale, we begin to creatively market the opportunity to relevant targets that can include domestic and international trade purchasers, investment teams considering management buy-in or buy-out strategies, private equity firms and strategic professional investors. Once suitable buyers are identified we facilitate a healthy level of competitive tension and subsequently structure the sale agreement, manage the due diligence process and settle the transaction.

Client Benefits

Our experience in business divestments allows our Clients to confidently remain focused on managing their business during the divestment process, whilst our discrete marketing and expert negotiating tactics ensure the optimum financial return and sale conditions.
